DAYLIGHT DSGS PROGRAM

PROGRAM-SPECIFIC TERMS AND CONDITIONS

These Program-Specific Terms and Conditions ("Program-Specific Terms") supplement the Texture DSGS Program General Terms and Conditions ("General Terms") and govern your participation in the Daylight DSGS Program ("Program"). This Program operates under the CEC's DSGS Incentive Option 3: Market-Aware Behind-the-Meter Battery Storage Pilot. Capitalized terms not defined here have the meanings given in the General Terms.

The Program Sponsor for this DSGS Program is Daylight Energy, LLC, doing business as "Daylight" and "Daylight Energy" ("Daylight"). Daylight has partnered with Texture to administer this Program for eligible Daylight customers.

The Aggregator for this Program is Leapfrog Power, Inc. ("Leap"), who will interface with the California Energy Commission for DSGS program participation on behalf of Texture and Daylight.

2. PROGRAM ELIGIBILITY

In addition to the eligibility requirements in the General Terms, to participate in this Program:

You must own or lease a compatible battery system (with or without solar) enrolled with Daylight
Your Battery System must be installed and commissioned in California
Your Battery System must be connected to the internet and capable of remote communication
You must be a customer in good standing with Daylight
You must not be enrolled in any other DSGS program with the same Battery System

3. PROGRAM DURATION

This Program runs from September 1, 2025, through October 31, 2025. Daylight may, at its discretion, extend or terminate the Program with notice to participants.

4. BATTERY CONTROL PARAMETERS

For this Program, Texture will:

Maintain a minimum of 20% battery reserve level at all times for backup purposes
Schedule pre-charge and discharge events during designated DSGS Demand Response periods
Optimize battery operation to minimize cycling and degradation

5. COMPENSATION

5.1 Reward Structure

For your participation in this Program, you will earn Sun Points upon completion of the 2025 DSGS season (after October 31, 2025), subject to the following conditions:

Your Battery System must remain enrolled in the Program for the entire season
Your Battery System must successfully participate in at least 50% of the Demand Response Events for which it is scheduled
Your Battery System must maintain internet connectivity throughout the Program period

Sun Points are earned at a rate of 100 Sun Points per $1 of value generated through your participation. The exact amount of Sun Points you earn will be communicated to you after the Program ends.

5.2 Sun Points Terms

Sun Points can be redeemed for rewards in the Daylight Shop or used toward your energy plan. As stated in Daylight's general terms:

Sun Points have no monetary value and will not be exchangeable for money
Sun Points are considered a loyalty incentive that is entirely discretionary to Daylight
Daylight reserves the right to restrict, limit, deny, or void any Sun Points awarded
In the event of any unauthorized access to your account in which Sun Points are used, transferred or accessed without authorization, Daylight will not be responsible for any such losses

5.3 Reward Issuance

Sun Points will be credited to your Daylight account within 60 days after the Program end date. You are responsible for maintaining an accurate email address with Texture and Daylight. If your email address changes, please notify Texture by sending an email to support@godaylight.com.

5.4 Revenue Allocation and Overrides

You acknowledge and agree that:

The Sun Points are the sole compensation you will receive for your participation in the Program
The amount of Sun Points is based on the actual grid support your Battery System provides during Demand Response Events

5.4.1 Effect of Overrides on Compensation

You cannot override your device settings and configuration during the DSGS event. If your event does not perform during the event, you will forfeit your Sun Points.

In addition to the data sharing described in the General Terms, for this Program:

Performance data from your Battery System will be shared with Daylight
Daylight may use this data to improve its products and services
Anonymized aggregated performance data may be used by Daylight for product improvement and service optimization

7. TERMINATION

7.1 Early Withdrawal

If you withdraw from the Program before October 31, 2025:

You will forfeit any Sun Points that would have been earned through the Program
Your Battery System will be returned to normal operation

7.2 Re-enrollment

If you withdraw from the Program, you may not be eligible to re-enroll until the next Program year.

9. RELATIONSHIP TO GENERAL TERMS

These Program-Specific Terms are incorporated into and supplement the General Terms. In the event of any conflict between these Program-Specific Terms and the General Terms, these Program-Specific Terms shall control with respect to this Program.
